Terms of Service

1. About These Terms

These Terms of Service ("Terms") govern your use of the services provided by Applied Intelligence ("we", "us", "our"), an Australian business. By accessing our platform or engaging our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our services.

2. Services

Applied Intelligence provides AI-powered business automation services, including but not limited to:

  • Custom workflow automation design and implementation
  • AI agent deployment for business operations (intake, communications, marketing, reputation management, document processing)
  • Ongoing monitoring, optimisation, and support of deployed automations
  • Industry intelligence and compliance monitoring
  • Access to the Applied Intelligence client portal

The specific services provided to you will be agreed upon during onboarding and may be adjusted over time by mutual agreement.

3. Client Accounts

When we create your account, you will receive login credentials for the client portal. You are responsible for:

  • Keeping your login credentials confidential
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised access

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Payment Terms

4.1 Setup Fee

A one-time setup fee is due at the commencement of services. This fee covers the custom build of your AI workers (approximately 2 weeks) and the first full calendar month of live service following build completion. No additional monthly fees are charged during the setup and included service period.

4.2 Monthly Fees

Recurring monthly billing commences at the conclusion of the included first month of service, at the rate agreed during onboarding. Fees are billed monthly in advance and are due before each service period begins.

4.3 Payment Method

Payment is due within 7 days of invoice date. We accept bank transfer and card payments. Late payments may incur additional fees.

4.4 Service Continuity Policy (Kill Switch)

To maintain service quality and business sustainability, we enforce the following escalation process for overdue payments:

  • Level 1 — Throttle: After 14 days overdue, non-critical automations may be temporarily reduced in frequency. Core services continue.
  • Level 2 — Pause: After 30 days overdue, all automations are paused. Your data remains intact and accessible through the portal.
  • Level 3 — Terminate: After 60 days overdue, all services are terminated and portal access is revoked. Data is retained for 90 days before deletion.

Services are fully restored within 24 hours of payment being received at any level. We will always attempt to contact you before escalating.

4.5 Money-Back Guarantee

Your first paid monthly billing period is covered by a 30-day money-back guarantee. If your AI workers do not pay for themselves within the first 30 days of paid service, you are entitled to a full refund of that month's fees upon request. Setup fees are non-refundable.

4.6 Refunds

After the first paid month, monthly service fees are non-refundable once the billing period has commenced. If you cancel mid-cycle, you retain access until the end of the paid period.

5. Your Obligations

As a client, you agree to:

  • Provide accurate information during onboarding and keep it up to date
  • Respond to reasonable requests for information needed to deliver services
  • Not use our services for any unlawful purpose
  • Not attempt to reverse-engineer, copy, or redistribute our systems or automations
  • Comply with all applicable laws and regulations relevant to your business

6. Intellectual Property

Our IP: All systems, automations, AI agents, workflows, and platform technology remain the intellectual property of Applied Intelligence. You are granted a non-exclusive, non-transferable licence to use these systems for the duration of your active subscription.

Your Data: You retain full ownership of your business data, client information, and content. We do not claim any ownership over your data.

7. Data Usage

We process your data solely to deliver the services you have engaged. This includes:

  • Storing business and operational data in our secure database
  • Processing data through AI systems (including third-party AI providers) to generate intelligence, reports, and automation actions
  • Sending communications on your behalf (emails, SMS) as part of agreed automations

8. Third-Party Services

Our platform integrates with third-party services to deliver functionality. These may include AI processing providers, email delivery services, workflow automation platforms, and others. We select providers carefully but are not liable for their independent actions or service disruptions.

9. Service Availability

We aim for high availability but do not guarantee uninterrupted service. We are not liable for downtime caused by:

  • Scheduled maintenance (we will provide reasonable notice)
  • Third-party service outages beyond our control
  • Force majeure events
  • Actions or omissions by you or your users

10. Limitation of Liability

To the maximum extent permitted by Australian law:

  • Our total liability for any claim arising from or related to our services is limited to the fees paid by you in the 3 months preceding the claim.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • We are not liable for decisions made by AI systems where human review was available but not exercised.

Nothing in these Terms excludes or limits liability that cannot be excluded under Australian Consumer Law.

11. Indemnification

You agree to indemnify and hold harmless Applied Intelligence from any claims, damages, losses, or expenses arising from your use of our services, your breach of these Terms, or your violation of any applicable law.

12. Termination

12.1 By You

You may cancel your subscription at any time by providing 30 days written notice. You retain access until the end of your current paid period.

12.2 By Us

We may terminate or suspend your account immediately if you:

  • Breach these Terms
  • Fail to pay fees after the escalation process described in Section 4.4
  • Use our services for unlawful purposes

12.3 Effect of Termination

Upon termination, all automations will be deactivated and portal access revoked. Your data will be retained for 90 days, during which you may request an export. After 90 days, data will be permanently deleted.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the client portal. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of Australia.
