Terms of service

These are the terms you are agreeing to when you hire us, whether that is AI staff we build and run for your business or a website we design and build. Written plainly, because you should be able to read them.

Who we are

Applied Intelligence is the trading name of Applied Intelligent Systems & Automations, a sole trader business run by Nicholas Matthews from the Gold Coast, Queensland, Australia.

In these terms, "we", "us" and "our" mean Applied Intelligence. "You" and "your" mean the business that hires us. "The service" means the work we do for you. By hiring us, or by continuing to use anything we build and run for you, you agree to these terms.

What we provide

Two things. You can take one or both.

  • Done-for-you AI staff. This is The Never Miss System: AI workers we configure, connect and manage for your business, so calls get answered, leads get chased and jobs get booked. You employ it, you do not operate it. Which workers you get, and what each one is allowed to do, is agreed with you before anything goes live.
  • Custom website design and build. One-off projects, quoted up front.

Nothing here commits you to anything you have not specifically agreed to buy.

The 30-Day Promise

This is the promise we make on our website, word for word:

Run your AI staff for 30 days. If it hasn't paid for itself by the end of your first month, tell us and we refund that month in full.

Here is exactly how it works.

  • It applies to your first month's service fee only, which is what you pay us to build and run your AI staff.
  • Ask in writing, by email, within 30 days of your go-live date. Go-live is the day your AI staff start working with real customers, not the day you sign up.
  • One claim per business.
  • It does not cover third-party pass-through costs. Telephony numbers, SMS and call charges, and voice minutes are billed by the providers who supply them, and they are not ours to refund.
  • We process the refund within 14 days of agreeing it, back to the payment method you used.
  • No questions and no exit interview. You do not have to justify the decision.

The service is month to month either way. There is no lock-in and no minimum term. Cancel any time by giving us 14 days' written notice, and we wind your staff down at the end of that notice period.

Your responsibilities

Your AI staff are only as good as what they are given, so a few things sit with you.

  • Give us accurate information about your business, your services and your prices, and tell us when any of it changes.
  • Approve things in reasonable time during the supervised warm-up. We cannot go live until you have signed off on how your staff handle your customers.
  • Keep your opt-out and do-not-contact lists current, and tell us straight away when someone asks not to be contacted.
  • Use the service lawfully. Do not use it to send messages you are not entitled to send, to contact people who have opted out, or to mislead anyone.

If these things are not happening, we may pause the service. We will tell you why first, and give you a chance to fix it.

Service guardrails

These are hard rails in the software, not promises in a brochure. They apply to every business we run staff for.

  • Your AI staff never invent a price. Prices and quotes come only from the pricing rules you give us, word for word. You can switch quoting off entirely.
  • Spend caps. Every worker runs under a spend cap, so a fault cannot run up a bill.
  • Quiet hours. Outbound messages are held outside the hours you set.
  • Human handoff. Anything the AI cannot handle is handed to you, or to whoever you nominate, every time.
  • Supervised warm-up. Every worker starts supervised. You approve the messages before anything goes live in front of a customer.

We monitor the service, and if something goes wrong we tell you rather than waiting for you to find it.

Third-party services

Your AI staff depend on services we do not own or control: telephony and SMS providers, email delivery providers, AI model providers and hosting providers.

We choose them carefully and we hold the accounts needed to run your service. But if one of them has an outage, changes its rules or its pricing, or suspends a service, that is outside our control. We will work around it as fast as we can and keep you posted, and we are not liable for what those providers do or fail to do.

Fees and billing

  • The monthly service fee is billed monthly in advance. Your quote sets the amount before you start.
  • Pass-through usage costs, such as phone numbers, SMS and call charges and voice minutes, are billed at cost and itemised, so you can see exactly what you are paying for.
  • We give you at least 30 days' notice in writing before any change to your monthly fee. If you do not want to pay the new price, cancel before it takes effect.
  • If an invoice goes unpaid, we may pause the service until it is settled. We will contact you before we do.

Website work

Website builds are one-off projects, not a subscription.

  • We quote the project up front, and the quote sets out what is included and what it costs.
  • The deliverable is the website itself.
  • Payment terms are set out in the quote.
  • Once the site is delivered, ongoing changes, hosting and maintenance are included only if the quote says so.

Intellectual property

  • You own your content. Your copy, your photos, your logo, your customer data and your business information stay yours.
  • You own your website. Once it is paid for, the site we build for you is yours.
  • We keep our tooling. The platform, the code, the templates, the internal systems and the know-how we use to build and run all of this stay ours, and we can reuse them for other clients.

We would like to show your project in our portfolio. If you would rather we did not, tell us and we will not.

Liability

We do our work with reasonable care and skill. Nobody can honestly promise that software never fails, so it is worth being straight about the limits.

To the extent permitted by law, our total liability to you for anything arising out of these terms or the service is limited to the fees you paid us in the month before the issue arose, and we are not liable for indirect or consequential loss, including lost profits, lost business or lost data.

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded, restricted or modified.

Ending the agreement

  • You can cancel any time with 14 days' written notice by email.
  • We can end the agreement with 30 days' written notice.
  • Either of us can end it immediately if the other seriously breaches these terms and has not fixed it within 14 days of being asked.
  • When it ends we switch your AI staff off, hand back your data on request, and you pay for anything up to the end date. Refunds beyond the 30-Day Promise are at our discretion.

Changes to these terms

We may update these terms. When we do, we change the "last updated" date at the top of this page and publish the new version here. If a change materially affects you, we will tell you by email before it takes effect. Continuing to use the service after that means you accept the updated terms.

Governing law

These terms are governed by the laws of Queensland, Australia, and both of us submit to the courts of Queensland.
